Terms of Service
Last updated 15 October 2026
These Terms of Service ("Terms") are the agreement between you and us for every service you order from serverserv, through this website or our client area at portal.serverserv.com. They apply to individuals and businesses anywhere in the world. Some products also have extra terms, and some rights of consumers cannot be changed by these Terms; both are explained below.
1. Who you contract with
serverserv is a trading name of serverserv, registered in Canada, with its registered address at Toronto, Ontario, Canada ("serverserv", "we", "us"). Full details are on our company information page.
When you place an order you accept these Terms and the following documents, which form part of the agreement:
- Service Terms for the products you order (web hosting, VPS, Windows RDP, Managed VPS, OpenClaw, n8n and business email).
- Acceptable Use Policy.
- Billing and Payment Policy and Refund and Cancellation Policy.
- Domain Registration Agreement, if you register, renew or transfer a domain.
- Data Processing Addendum, where you store personal data on our services.
Our Privacy Policy and Cookie Policy explain how we handle personal information. If documents conflict, the Service Terms win for their product, then these Terms, then the other policies.
2. Who can order
- You must be at least 18 years old, or have the consent of a parent or guardian, and able to make a binding contract.
- If you order for a business, you confirm that you can bind that business, and "you" means the business.
- You must not use our services if you are named on a sanctions list, or from a country or region under comprehensive sanctions that apply to us or to our payment providers (such as UN, US, EU or UK sanctions). You must not export or use our services in breach of export-control laws.
3. Your account
Give accurate contact and billing details and keep them up to date. You are responsible for everything done with your account and services, including by people you give access to, and for keeping your passwords safe. Turn on two-factor authentication in the client area. Tell us at once if you think someone has accessed your account without permission. We may ask you to verify your identity or payment details before or after setup.
4. Orders and setup
A contract is formed when we accept your order and you pay the first invoice. Services are set up after payment is received and any order checks are complete. We may refuse or cancel an order, for example when details cannot be verified or an order looks fraudulent. If we cancel an order before setup, we refund what you paid for it.
5. Prices, billing and renewals
- Prices are shown on this website and at checkout, excluding applicable taxes. The checkout amount, in the currency shown at checkout, is the amount charged.
- Monthly services are billed every month. 1, 2 and 3 year terms are billed once, up front, for the whole term.
- When a term ends, the service renews automatically for the same term at the same price you paid. If that price ever has to change, we will email you at least 30 days before the renewal date, and you can cancel before it renews.
- You can turn off automatic renewal or cancel a service online from the client area at any time.
Invoices, automatic payments, late payment, currencies, taxes and chargebacks are covered in the Billing and Payment Policy.
6. Cancellation and refunds
You can cancel any service from the client area. Cancellation takes effect at the end of the paid period unless you choose immediate cancellation. Payments for services that have been set up are not refundable, except as set out in the Refund and Cancellation Policy, which includes the 14-day cancellation right of consumers in the EU and UK. Domain registrations, software licences (such as Windows Server) and setup fees are not refundable once active.
7. Upgrades and changes to services
You can request an upgrade from the client area. Any price difference for the rest of the current billing period is invoiced when you upgrade. We may improve or change the technology behind a service. We will not reduce the main features of a service you have paid for during its term. If we have to stop offering a service, we will give you reasonable notice and refund any prepaid amount for the time after it stops.
8. Your content and data
You own the content and data you store on our services, and you are responsible for it being lawful. You give us only the rights we need to store, copy and transmit it in order to provide the services. We do not look at the content on your services except to provide support you ask for, to deal with abuse or security problems, or when the law requires it.
Unless your plan description on our website says that backups are included, you are responsible for keeping your own copies of your data, away from our services. When a service ends, its data is deleted as described in the Billing and Payment Policy.
9. Acceptable use and content moderation
You must follow our Acceptable Use Policy, which lists what is not allowed. Anyone can report illegal content or abuse under our Abuse Policy and Copyright Policy. When we receive a notice, we review it, usually ask you to act first, and may remove or disable access to content, limit a service or suspend it. We may suspend a service without notice to stop serious abuse, attacks or illegal activity, or to protect our network and other clients.
When we restrict your service or content, we tell you what we did and why, unless the law or an ongoing investigation prevents it. You can ask us to review the decision by replying to our message or opening a ticket, and you can always go to court.
10. Third-party software and services
Some services include software made by others, such as Windows Server (Microsoft), OpenClaw and n8n. That software is provided under its own licence, which you must follow. The Service Terms explain these licences and your responsibilities, including for AI model costs and API keys.
11. Domains
Domain registrations, renewals and transfers are subject to the Domain Registration Agreement, the agreement of our upstream registrar and the rules of the registry for each extension. Renew domains before they expire. Expired domains can be lost or cost more to restore.
12. Service availability
We work to keep services available but do not promise that they will be uninterrupted or free of errors. We do not offer an uptime guarantee or service credits unless a separate written service level agreement says so. Planned maintenance and incidents are posted on our network status page.
13. Suspension and termination
You can end a service at any time by cancelling it. We may suspend or terminate a service if you do not pay, if you break these Terms or the Acceptable Use Policy, if a court or authority orders it, or if we must do so to protect our network, other clients or the public. Where the problem can be fixed, we will usually give you notice and a chance to fix it first. When a service is terminated, its data is deleted and cannot be recovered.
14. Warranties
We provide the services with reasonable care and skill. Apart from that, and to the extent the law allows, the services are provided "as is" and we give no other promises, for example that they will suit a particular purpose.
15. Limitation of liability
- To the extent the law allows, we are not liable for indirect or consequential loss, lost profit, lost revenue or lost data.
- To the extent the law allows, our total liability for all claims about a service is limited to the amount you paid for that service in the 3 months before the event that caused the claim.
- Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot be limited by law, and nothing affects the rights consumers have under mandatory consumer law.
16. Indemnity
If you use the services for a business, you will cover our reasonable costs and losses from third-party claims caused by your content, by what you or your users do on the services, or by your breach of these Terms. This does not apply to consumers to the extent their law does not allow it.
17. Events outside our control
We are not responsible for delays or failures caused by events we cannot reasonably control, such as natural disasters, power or network failures of third parties, large-scale attacks, war, or acts of government. We will tell you and do what we reasonably can to limit the effect.
18. Changes to these Terms
We may update these Terms. The current version is always on this page with its date. We will announce important changes by email or in the client area at least 30 days before they take effect. If you do not agree, you can cancel before then. Changes never alter the price of a term you have already paid for.
19. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, with the courts of Toronto, Ontario. Please contact us first so we can try to solve any problem. If you are a consumer, you keep the protection of the mandatory laws of the country where you live, and you can bring a claim in the courts of that country.
20. General
- These Terms and the documents they refer to are the whole agreement between us about the services.
- If a court finds part of these Terms unenforceable, the rest stays in force.
- If we do not enforce a right straight away, we can still enforce it later.
- You may not transfer your account to someone else without our written agreement. We may transfer our rights and obligations to another company that takes over our business, and will tell you if we do.
- We send notices to the email address on your account. You can send notices to [email protected] or through a ticket in the client area.
- These Terms are written in English. If we provide a translation, the English version applies where they differ, unless the law requires otherwise.
